Thanks For Using AdCentral
These Standard Terms of Use (“Terms,” including our Acceptable Use Policy, API Use Policy, Copyright
and Trademark Policy, Data Processing Addendum, and Brand Guidelines) define the terms and conditions
under which you’re allowed to use the Service. If you don’t agree to these Terms, you must immediately
discontinue your use of the Service.
Some features of the Service are offered as add-ons to
your account (“Add-ons”). Unless expressly stated otherwise, these Terms apply to the use of Add-ons. By
using our services, you agree to all Terms listed below.
1.-Account Eligibility
To use AdCentral, you must:
• Be at least eighteen (18) years old and able to enter into
contracts;
• Complete the account registration process;
• Agree to these Terms;
•
Provide accurate, complete, and up-to-date contact and billing information;
• Not be based in
any country subject to a US government embargo or other sanctions.
By using the Service,
you represent and warrant that you meet all the requirements listed above and that you will not use
the Service in a way that violates any laws or regulations.
2.- Term
When you sign up for an account and agree to these Terms, the Agreement between you and AdCentral is
formed. The Agreement will continue for as long as you have an AdCentral account or until either you
or we terminate the Agreement in accordance with these Terms.
3.- Closing Your Account
Either party may terminate the Agreement at any time. If AdCentral terminates your account without
cause, you will receive a prorated refund for any prepaid services. No refunds will be provided if
your account is terminated for cause. Upon termination, your account and all associated data will be
permanently deleted.
4.- Changes to terms
We may change any of the Terms by posting revised Terms on our website. Continued use of the Service
after changes are posted constitutes acceptance of the new Terms. We reserve the right to change or
discontinue any part of the Service at any time.
5.-Billing and pricing
All services provided by AdCentral are subject to price changes. Current pricing includes:
• Web App Services (AdCentral Sites, TV, Social Media): $79.99/month (legacy users
at $39.99 are subject to upgrades to current pricing)
Desktop App Services:
• AdCentral POS: $99/year (grandfathered users will retain this pricing unless
payment fails or they cancel their account).
• AdCentral Diagnostic Tools: 1
AdCoin per diagnostic test ($0.50 per AdCoin).
• AdCentral Reviews AI: Free
during beta; future pricing will be announced.
• AdCentral Trade-Ins: 2 AdCoins
per trade-in (subject to change).
Pricing and Country-Specific Deals
Pricing for AdCentral services may vary by country and currency. Certain deals, discounts, or promotions may only be available in specific countries and can only be redeemed by users within those countries. Additionally, the availability of services may depend on the language or region. Please contact us if you have questions about pricing or availability in your area.
6. Account and Password
You are responsible for maintaining the confidentiality of your account and password. You will notify
us immediately if any unauthorized use of your account occurs. We are not responsible for any losses
caused by unauthorized access to your account.
7. Service Use and Restrictions
By using AdCentral, you agree that:
• You will not mine, scrape, or otherwise extract
data from the Service.
• You will not attempt to reverse-engineer or exploit our services for
unauthorized purposes.
• You are solely responsible for any content you post using the Service
and for ensuring that such content complies with local laws and regulations.AdCentral is not liable
for any damages or legal issues arising from the content you post. You assume full responsibility for
your use of the Service.
8. Liability
By using AdCentral, you acknowledge and agree that you are using the Service at your own risk and
discretion. AdCentral will not be liable for:
• Any indirect, punitive, or consequential
damages, even if based on negligence or prior notice of potential damages.
• Content posted
through the Service, or compliance with local laws regarding content.
• Any technical issues or
system outages.
9. No Warranties
We provide the Service “as is” and make no warranties or representations regarding the availability,
reliability, or security of the Service.
10. Security
We use HTTPS and follow SOC2 compliance best practices. While we strive to maintain the security of
our systems, we disclaim any liability for security breaches or incidents unless legally required to
notify affected parties.
11. Third-Party Integrations
Our services may integrate with third-party services (such as payment gateways or content delivery
systems). We are not responsible for the actions of these third parties, and by using the Service, you
acknowledge and accept that third-party providers may have their own terms and conditions.
12. Data Retention & Deletion
We retain user data as necessary to provide services. If you wish to delete your account or personal
data, you may contact us for assistance. We follow applicable laws regarding data retention and
deletion.
13. Feedback and Proprietary Rights
We own all proprietary rights in the Service. By submitting any suggestions, comments, or feedback
(“Feedback”), you grant us a license to use such Feedback for any purpose without compensation.
14. Legal and Governing Law
All legal matters related to the Agreement or the Service will be governed by the laws of Virginia,
specifically Fairfax County. Any disputes will be settled in the courts of Fairfax County, Virginia.
If any third party files a legal claim or lawsuit against us, the opposing party will be responsible
for covering all legal and attorney fees.
15. Enterprise-Level Services and Special Agreements
For clients using our enterprise-level website services, app creation, or other custom software
services, these Terms of Service apply alongside any separate Master Service Agreement (MSA) or
Statement of Work (SOW) governing those services. In cases of conflict, the MSA or SOW will prevail.
Clients under such agreements should refer to those documents for details about billing, service
levels, and termination.
16. Language and Localization
Our services are available in multiple languages depending on the country. Certain features may only
be available in specific languages, and localization may vary. We do not guarantee full localization
for all regions, and users are responsible for confirming that the features they need are available in
their region’s language.
17. Force Majeure
We will not be held responsible for any delays or failures in performance due to causes beyond our
control, such as natural disasters, acts of war, terrorism, or government regulations.
18. API Use Policy
Our API is available exclusively to users on premium plans, and access is governed by a contract. By
requesting and using our API, you agree to the following terms:
• Access and Authorization: Access to the API is granted on a request basis, and an API key will
be provided by us upon approval. You may not share your API key with any third party, and you are
solely responsible for the security and proper use of your API credentials. Unauthorized use or
sharing of API credentials will result in immediate suspension or termination of access.
• Usage
Limits: We reserve the right to throttle or limit API requests at our discretion. While usage limits
may vary depending on your specific plan or contract, users can expect reduced or throttled access if
standard usage limits are exceeded.
• Data Privacy and Security: You are fully responsible for
maintaining the security of the data accessed through our API. We disclaim any liability for the
security of the data once it is transmitted through the API to your systems. You must handle API data
in compliance with local laws and your organization’s data security policies.
• Restrictions:
The following activities are strictly prohibited when using our API:
• Mining, automated
scraping, or reverse-engineering of the API or any associated data.
• Sharing API access keys
with any third party.
• Using the API in a manner that violates any applicable local, state,
national, or international law. Violations will result in immediate suspension or termination of API
access, and we reserve the right to take legal action if necessary.
• Disclaimers on Reliability
and Support: We make no guarantees about the uptime, reliability, or availability of our API. While we
follow industry-standard practices to maintain and support the API, access may be limited due to
maintenance, updates, or unforeseen technical issues. Premium API access includes the option to
purchase support and maintenance services, governed by separate SLAs.
• Termination of Access:
We reserve the right to revoke or terminate your API access at any time, at our discretion, including
cases of abuse or violation of these terms. You agree to provide evidence, such as code or
documentation, demonstrating how the API data is being used upon our request.
19. Severability and Waiver
If any part of these Terms is deemed unenforceable, the remaining parts will remain valid. Our
failure to enforce any provision of these Terms does not constitute a waiver of our rights.
20. Beta Services
From time to time, we may offer beta services. These services are provided “as is” and may contain
bugs or errors. We may discontinue beta services at any time.
21. Entire Agreement
These Terms constitute the entire agreement between you and AdCentral regarding the use of the
Service and supersede any prior agreements or understandings.
